INFORMATION OBLIGATIONS OF SIGNIFICANT SHAREHOLDERS

Pursuant to the Euronext Growth Milan Issuers Regulation, those who participate in the capital of SBE Varvit S.p.A. (the “Issuer”) must communicate any “substantial change” or the achievement or exceeding of the thresholds of 5%, 10%, 15%, 20%, 25%, 30%, 50%, 66.6% and 90% of the Issuer’s share capital, as well as the reduction below the aforementioned thresholds (the “Substantial Change”).

For the purposes of calculating the shareholdings held by the so-called significant shareholder – that is, it holds at least 5% or more in a category of Euronext Growth Milan shares (excluding treasury shares) – all direct, indirect and concerted holdings must be taken into account.

For the purposes of the above, promptly, and in any case within 4 trading days from the operation that determines the arising of the obligation (regardless of the date of execution) or from the day on which it became aware of the events that lead to changes in the share capital of the Issuer, the significant shareholder must communicate to the Issuer itself:

  1. their identity;
  2. the date on which the Issuer was informed;
  3. the date on which the Substantial Change in the shareholdings occurred;
  4. the nature and extent of the significant shareholder’s participation in the transaction (in the case of issuing multiple voting shares, the number of voting rights and the number of ordinary shares held).
